These Terms of Use (\u201cTerms\u201d) govern your access to and use of the UmahCare website, platform, and related services (collectively, the \u201cPlatform\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">1. Nature of the Platform<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">UmahCare is an online marketplace that connects families seeking care services with independent caregivers offering services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">UmahCare:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Is not an employer<\/li>\n\n\n\n<li class=\"\">Is not a care provider<\/li>\n\n\n\n<li class=\"\">Does not provide caregiving services<\/li>\n\n\n\n<li class=\"\">Does not supervise caregivers<\/li>\n\n\n\n<li class=\"\">Is not responsible for the performance of services<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Families and caregivers enter into agreements directly with one another. UmahCare is not a party to those agreements.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">2. No Employment Relationship<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in these Terms creates an employment, partnership, agency, or joint venture relationship between UmahCare and any user.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Caregivers are independent service providers and are solely responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Their qualifications and experience<\/li>\n\n\n\n<li class=\"\">Setting their own rates<\/li>\n\n\n\n<li class=\"\">Determining availability<\/li>\n\n\n\n<li class=\"\">Paying applicable taxes<\/li>\n\n\n\n<li class=\"\">Complying with local, state, and federal laws<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Families are solely responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Interviewing and selecting caregivers<\/li>\n\n\n\n<li class=\"\">Verifying credentials<\/li>\n\n\n\n<li class=\"\">Conducting screening and due diligence<\/li>\n\n\n\n<li class=\"\">Supervising services<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">3. User Eligibility<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You must be at least 18 years old to use the Platform.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By using UmahCare, you represent and warrant that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">You are legally able to enter into binding agreements<\/li>\n\n\n\n<li class=\"\">All information you provide is accurate<\/li>\n\n\n\n<li class=\"\">You will comply with all applicable laws<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">4. Account Registration<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To access certain features, you must create an account.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Provide truthful and accurate information<\/li>\n\n\n\n<li class=\"\">Maintain the confidentiality of your login credentials<\/li>\n\n\n\n<li class=\"\">Notify us of unauthorized use<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to suspend or terminate accounts at our discretion.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">5. User Responsibilities<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Users are solely responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">The accuracy of their listings and profiles<\/li>\n\n\n\n<li class=\"\">Communications with other users<\/li>\n\n\n\n<li class=\"\">Agreements entered into with other users<\/li>\n\n\n\n<li class=\"\">Compliance with all applicable laws<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You agree not to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Post false or misleading information<\/li>\n\n\n\n<li class=\"\">Engage in unlawful conduct<\/li>\n\n\n\n<li class=\"\">Harass or discriminate against other users<\/li>\n\n\n\n<li class=\"\">Use the Platform for unrelated commercial purposes<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">6. Background Check Document Submissions<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Caregivers may upload documentation indicating that a background check was conducted within the previous 12 months.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">UmahCare may review such documentation solely to confirm:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">A document was submitted; and<\/li>\n\n\n\n<li class=\"\">The document reflects a background check date within the past 12 months.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">UmahCare does not:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Conduct background checks<\/li>\n\n\n\n<li class=\"\">Verify the authenticity of documents<\/li>\n\n\n\n<li class=\"\">Independently confirm report accuracy<\/li>\n\n\n\n<li class=\"\">Interpret or evaluate results<\/li>\n\n\n\n<li class=\"\">Guarantee safety or suitability<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Any badge or notation indicating that a background check document was submitted reflects only that documentation was provided and reviewed for date compliance. It does not constitute certification, endorsement, or verification.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Families are solely responsible for conducting their own screening and due diligence.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">7. Payments and Subscriptions<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Caregivers may be required to pay subscription fees to access certain features.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By subscribing, you agree that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Fees are billed as described at checkout<\/li>\n\n\n\n<li class=\"\">Subscriptions renew automatically unless canceled<\/li>\n\n\n\n<li class=\"\">Fees are non-refundable unless required by law<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We use third-party payment processors and are not responsible for processing errors beyond our control.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">8. Indemnification<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to indemnify and hold harmless UmahCare and its affiliates from any claims, damages, or legal actions arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Your use of the Platform<\/li>\n\n\n\n<li class=\"\">Your violation of these Terms<\/li>\n\n\n\n<li class=\"\">Your agreements with other users<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">11. Termination<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend or terminate accounts for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Violations of these Terms<\/li>\n\n\n\n<li class=\"\">Fraudulent activity<\/li>\n\n\n\n<li class=\"\">Harmful conduct<\/li>\n\n\n\n<li class=\"\">Any action that threatens platform integrity<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">12.
