UMAHCARE TERMS OF USE

Welcome to UmahCare (“UmahCare,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the UmahCare website, platform, and related services (collectively, the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
1. Nature of the Platform
UmahCare is an online marketplace that connects families seeking care services with independent caregivers offering services.
UmahCare:
- Is not an employer
- Is not a care provider
- Does not provide caregiving services
- Does not supervise caregivers
- Is not responsible for the performance of services
Families and caregivers enter into agreements directly with one another. UmahCare is not a party to those agreements.
2. No Employment Relationship
Nothing in these Terms creates an employment, partnership, agency, or joint venture relationship between UmahCare and any user.
Caregivers are independent service providers and are solely responsible for:
- Their qualifications and experience
- Setting their own rates
- Determining availability
- Paying applicable taxes
- Complying with local, state, and federal laws
Families are solely responsible for:
- Interviewing and selecting caregivers
- Verifying credentials
- Conducting screening and due diligence
- Supervising services
3. User Eligibility
You must be at least 18 years old to use the Platform.
By using UmahCare, you represent and warrant that:
- You are legally able to enter into binding agreements
- All information you provide is accurate
- You will comply with all applicable laws
4. Account Registration
To access certain features, you must create an account.
You agree to:
- Provide truthful and accurate information
- Maintain the confidentiality of your login credentials
- Notify us of unauthorized use
We reserve the right to suspend or terminate accounts at our discretion.
5. User Responsibilities
Users are solely responsible for:
- The accuracy of their listings and profiles
- Communications with other users
- Agreements entered into with other users
- Compliance with all applicable laws
You agree not to:
- Post false or misleading information
- Engage in unlawful conduct
- Harass or discriminate against other users
- Use the Platform for unrelated commercial purposes
6. Background Check Document Submissions
Caregivers may upload documentation indicating that a background check was conducted within the previous 12 months.
UmahCare may review such documentation solely to confirm:
- A document was submitted; and
- The document reflects a background check date within the past 12 months.
UmahCare does not:
- Conduct background checks
- Verify the authenticity of documents
- Independently confirm report accuracy
- Interpret or evaluate results
- Guarantee safety or suitability
Any badge or notation indicating that a background check document was submitted reflects only that documentation was provided and reviewed for date compliance. It does not constitute certification, endorsement, or verification.
Families are solely responsible for conducting their own screening and due diligence.
7. Payments and Subscriptions
Caregivers may be required to pay subscription fees to access certain features.
By subscribing, you agree that:
- Fees are billed as described at checkout
- Subscriptions renew automatically unless canceled
- Fees are non-refundable unless required by law
We use third-party payment processors and are not responsible for processing errors beyond our control.
8. Disclaimers
The Platform is provided “as is” and “as available.”
UmahCare makes no warranties, express or implied, regarding:
- The quality of care
- User reliability
- Outcomes of matches
- Platform availability
We disclaim all warranties to the fullest extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, UmahCare shall not be liable for:
- Any injury, loss, or damage arising from user interactions
- Disputes between users
- Services performed by caregivers
- Loss of income, data, or opportunities
Users assume full responsibility for their interactions and agreements.
10. Indemnification
You agree to indemnify and hold harmless UmahCare and its affiliates from any claims, damages, or legal actions arising from:
- Your use of the Platform
- Your violation of these Terms
- Your agreements with other users
11. Termination
We may suspend or terminate accounts for:
- Violations of these Terms
- Fraudulent activity
- Harmful conduct
- Any action that threatens platform integrity
12. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.
Any disputes shall be resolved in courts located in that state.
13. Modifications
We may update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.
